Impact of Financial Statement Fraud on the Market Value of Listed Companies in Nigeria

 

Abstract

Financial statement fraud has become one of the most critical challenges confronting corporate organizations, investors, regulators, and capital markets due to its adverse effects on financial reporting credibility, investor confidence, and corporate value. Financial statement fraud refers to the intentional manipulation, misrepresentation, omission, or falsification of financial information to deceive users of financial statements regarding the true financial position and performance of an organization. Such fraudulent practices may include earnings manipulation, fictitious revenue recognition, understatement of liabilities, overstatement of assets, concealment of expenses, improper valuation of financial items, and deliberate violations of accounting standards. In Nigeria, several corporate failures and financial reporting scandals have heightened concerns about the integrity of financial reporting among listed companies. Companies listed on the Nigerian Exchange Group (NGX) are required to prepare financial statements in accordance with the International Financial Reporting Standards (IFRS), the Companies and Allied Matters Act (CAMA), the Financial Reporting Council of Nigeria (FRCN) Act, and the regulations of the Securities and Exchange Commission (SEC). Despite these regulatory frameworks, incidents of financial statement manipulation, weak corporate governance, ineffective internal controls, and unethical accounting practices continue to undermine investor confidence and the credibility of the Nigerian capital market. Financial statement fraud is expected to reduce market confidence, increase information asymmetry, expose firms to regulatory sanctions and litigation, and ultimately diminish market value. Although previous studies have examined earnings management and corporate governance, empirical evidence regarding the impact of financial statement fraud on the market value of listed companies in Nigeria remains limited and inconclusive. Against this background, this study investigates the impact of financial statement fraud on the market value of listed companies in Nigeria. The study is anchored on Agency Theory, Fraud Triangle Theory, and Signaling Theory. Agency Theory posits that managers may manipulate financial statements to pursue personal interests at the expense of shareholders, thereby creating agency conflicts and reducing firm value. Fraud Triangle Theory explains that financial statement fraud arises from the interaction of pressure, opportunity, and rationalization, making effective governance and internal controls essential for fraud prevention. Signaling Theory argues that credible and transparent financial reporting serves as a positive signal to investors, whereas fraudulent financial reporting sends negative signals that reduce investor confidence and adversely affect market valuation. Collectively, these theoretical perspectives provide a comprehensive framework for explaining the relationship between financial statement fraud and the market value of listed companies in Nigeria. The study adopts an ex post facto research design utilizing secondary data obtained from the audited annual reports and financial statements of companies listed on the Nigerian Exchange Group (NGX), together with relevant data from the Securities and Exchange Commission (SEC), the Financial Reporting Council of Nigeria (FRCN), and other publicly available regulatory disclosures. A longitudinal panel data approach covering a ten-year period will be employed to examine the relationship between financial statement fraud and market value over time. Purposive sampling will be used to select listed companies with complete and consistent financial information throughout the study period. Financial statement fraud will be proxied using discretionary accruals, the Beneish M-Score, financial restatements, regulatory sanctions for financial reporting violations, and other recognized fraud indicators, while market value will be measured using Tobin's Q, market capitalization, market-to-book ratio, share price, and price-to-earnings ratio. Data analysis will involve descriptive statistics to summarize the characteristics of the study variables, correlation analysis to determine the degree of association among variables, and panel regression techniques, including Fixed Effects and Random Effects models, to estimate the impact of financial statement fraud on market value. The Hausman specification test will determine the most appropriate estimation model, while diagnostic tests including multicollinearity, heteroskedasticity, autocorrelation, stationarity, cross-sectional dependence, endogeneity, normality, and model specification tests will be conducted to ensure the validity, consistency, and robustness of the empirical findings. The study anticipates that financial statement fraud will have a significant negative impact on the market value of listed companies in Nigeria. Fraudulent financial reporting is expected to reduce investor confidence, increase information risk, weaken corporate reputation, and trigger declines in share prices and market capitalization. Companies associated with financial statement fraud are also anticipated to experience regulatory penalties, litigation costs, increased cost of capital, reduced access to external financing, and lower shareholder wealth. Furthermore, financial statement fraud is expected to undermine market efficiency, impair investment decisions, and discourage both domestic and foreign investment in the Nigerian capital market. Conversely, companies that maintain transparent financial reporting, effective internal controls, ethical accounting practices, and sound corporate governance are expected to strengthen investor confidence, improve market valuation, enhance corporate reputation, and achieve sustainable growth. Consequently, preventing financial statement fraud is expected to contribute significantly to improving market value, corporate credibility, and the overall stability of the Nigerian capital market. This study is expected to make significant theoretical and empirical contributions to the literature on accounting, auditing, corporate governance, and capital market research by providing comprehensive evidence on the relationship between financial statement fraud and the market value of listed companies in Nigeria. Unlike previous studies that primarily examined earnings management or financial reporting quality, this research specifically evaluates financial statement fraud as a determinant of corporate market value using a longitudinal panel data approach and multiple indicators of fraud and market performance. The findings will provide valuable insights for the Nigerian Exchange Group (NGX), the Securities and Exchange Commission (SEC), the Financial Reporting Council of Nigeria (FRCN), listed companies, investors, external auditors, professional accounting bodies, policymakers, and academic researchers regarding the implications of financial statement fraud for investor confidence, corporate valuation, and capital market development. The study will also provide evidence-based recommendations for strengthening corporate governance, enhancing internal control systems, improving audit quality, reinforcing regulatory oversight, promoting ethical financial reporting, and fostering transparency and accountability within Nigeria's corporate sector.
