Abstract

Transfer pricing has become one of the most significant international taxation issues affecting multinational companies (MNCs) operating across different jurisdictions. As globalization continues to expand cross-border transactions among related entities, tax authorities have intensified efforts to ensure that multinational enterprises comply with transfer pricing regulations in order to prevent profit shifting, tax avoidance, and base erosion. In Nigeria, the Federal Inland Revenue Service (FIRS) has strengthened transfer pricing regulations through the Income Tax (Transfer Pricing) Regulations, the Finance Acts, and the adoption of the Organisation for Economic Co-operation and Development (OECD) Transfer Pricing Guidelines. These reforms require multinational companies to apply the arm's length principle in related-party transactions, maintain comprehensive transfer pricing documentation, and provide transparent disclosures to tax authorities. While compliance with transfer pricing regulations is intended to enhance tax transparency, improve revenue generation, and promote fair taxation, it may also influence corporate financial performance through increased compliance costs, tax planning strategies, and risk management practices. Against this background, this study investigates the effect of transfer pricing compliance on the financial performance of multinational companies in Nigeria while examining the mediating role of tax risk management and the moderating role of internal audit quality.The study is anchored on Agency Theory, Institutional Theory, and the Resource-Based View (RBV). Agency Theory explains the potential conflicts of interest between managers and shareholders in managing tax-related decisions and financial reporting obligations. Institutional Theory posits that organizations adapt their internal policies and operational practices in response to evolving regulatory and legal requirements, including transfer pricing regulations. The Resource-Based View emphasizes that organizational capabilities, such as effective tax management systems and strong internal audit functions, constitute strategic resources that enhance operational efficiency and sustainable financial performance. Guided by these theoretical perspectives, the study seeks to determine the direct effect of transfer pricing compliance on the financial performance of multinational companies, assess whether tax risk management mediates this relationship, and examine whether internal audit quality moderates the influence of transfer pricing compliance on financial performance.A quantitative research design will be adopted using a combination of primary and secondary data sources. Primary data will be collected through structured questionnaires administered to tax managers, finance directors, accountants, internal auditors, tax consultants, compliance officers, and senior finance executives of multinational companies operating in Nigeria. Secondary data will be obtained from audited annual reports, financial statements, transfer pricing disclosures, and relevant regulatory publications issued by the Federal Inland Revenue Service (FIRS), the Financial Reporting Council of Nigeria (FRCN), and the Nigerian Exchange Group (NGX). A purposive sampling technique will be employed to select multinational companies with substantial related-party transactions and consistent financial reporting records over the study period. Financial performance will be measured using indicators such as Return on Assets (ROA), Return on Equity (ROE), Net Profit Margin (NPM), Earnings per Share (EPS), and Return on Capital Employed (ROCE). Transfer pricing compliance will be assessed using indicators including compliance with the arm's length principle, documentation quality, timely filing of transfer pricing returns, disclosure adequacy, and adherence to regulatory requirements. Tax risk management will be measured through tax governance structures, tax compliance strategies, tax dispute management, tax planning effectiveness, and tax risk assessment mechanisms, while internal audit quality will be evaluated using audit independence, auditor competence, audit scope, audit frequency, compliance monitoring, and management support. Data analysis will involve descriptive statistics, correlation analysis, panel regression techniques, and Structural Equation Modeling (SEM) to examine the direct, mediating, and moderating relationships among the study variables. Reliability, validity, and diagnostic tests—including multicollinearity, heteroskedasticity, autocorrelation, and model specification tests—will also be conducted to ensure the robustness of the empirical findings.The study anticipates that transfer pricing compliance will have a significant positive influence on the financial performance of multinational companies by reducing tax-related penalties, minimizing regulatory disputes, enhancing investor confidence, improving corporate reputation, and strengthening long-term financial sustainability. Compliance with transfer pricing regulations is expected to promote transparent financial reporting and reduce uncertainties associated with tax audits and litigation. However, the study also recognizes that compliance may increase administrative and documentation costs in the short term, making the effectiveness of tax risk management an important factor in determining overall financial outcomes.Furthermore, tax risk management is expected to mediate the relationship between transfer pricing compliance and financial performance. Effective tax risk management practices—including proactive tax planning, continuous monitoring of regulatory changes, timely documentation, tax governance frameworks, and effective dispute resolution mechanisms—are anticipated to reduce tax uncertainties and improve organizational decision-making. By minimizing exposure to tax penalties, interest charges, reputational risks, and costly legal disputes, tax risk management is expected to serve as the mechanism through which transfer pricing compliance contributes to improved financial performance.In addition, internal audit quality is expected to moderate the relationship between transfer pricing compliance and financial performance. Multinational companies with highly effective internal audit functions characterized by professional competence, operational independence, comprehensive audit coverage, risk-based auditing approaches, and continuous monitoring of tax compliance are expected to derive greater financial benefits from transfer pricing compliance than firms with weak internal audit systems. High-quality internal audits are expected to strengthen internal controls, identify compliance gaps, improve the accuracy of transfer pricing documentation, ensure adherence to regulatory requirements, and enhance management's ability to respond proactively to tax risks. Conversely, organizations with weak internal audit functions may experience greater compliance failures, increased tax exposures, and lower financial performance despite adhering to transfer pricing regulations. Thus, internal audit quality is expected to strengthen the positive relationship between transfer pricing compliance and financial performance.This study is expected to make significant theoretical and empirical contributions to the literature on taxation, accounting, international business, and corporate governance by integrating tax risk management as a mediating variable and internal audit quality as a moderating variable into the relationship between transfer pricing compliance and financial performance within the Nigerian context. Unlike previous studies that primarily focused on the direct effects of transfer pricing regulations on tax compliance or profitability, this research provides a more comprehensive framework by explaining the mechanisms through which transfer pricing compliance influences financial outcomes and identifying the organizational conditions that maximize its effectiveness. The findings will provide valuable insights for the Federal Inland Revenue Service (FIRS), multinational corporations, tax consultants, internal auditors, policymakers, regulators, investors, and accounting professionals regarding the strategic importance of strengthening tax risk management and internal audit systems to enhance regulatory compliance and corporate financial performance. The study will also offer evidence-based recommendations for improving transfer pricing governance, strengthening internal control mechanisms, reducing tax-related risks, and promoting sustainable financial performance among multinational companies operating in Nigeria.
