Abstract

Free cash flow is an important financial indicator that represents the amount of cash generated by a company after meeting the cash requirements necessary to maintain and expand its operating assets. It reflects the cash resources available to a company for debt repayment, dividend payments, share repurchases, acquisitions, business expansion, and other discretionary corporate activities. Market value represents the value assigned to a company by investors based on its current financial position, expected future cash flows, growth opportunities, profitability, risk profile, and other relevant information available in the capital market. Strong free cash flow may enhance market value by indicating the company's ability to generate sufficient internal funds, meet financial obligations, finance profitable investments, and provide returns to shareholders without excessive dependence on external financing. However, excessive free cash flow may also create agency problems where managers invest surplus funds in unprofitable projects, pursue unnecessary expansion, or retain cash for purposes that do not maximize shareholder wealth. In Nigeria, listed companies operate in an economic environment characterized by inflation, exchange rate volatility, high financing costs, rising operating expenses, economic uncertainty, and fluctuations in consumer demand. These conditions can significantly affect corporate cash generation, investment decisions, liquidity, and market valuation. Effective management and utilization of free cash flow are therefore important for enhancing corporate value and maintaining investor confidence. Regulatory institutions such as the Financial Reporting Council of Nigeria (FRCN), the Securities and Exchange Commission (SEC), and the Nigerian Exchange Group (NGX) promote transparent financial reporting and corporate governance practices that enable investors to evaluate companies' financial capacity and investment prospects. Despite these regulatory efforts, differences exist in the levels of free cash flow and market valuation among listed companies, raising questions about whether free cash flow significantly influences market value. Although previous studies have examined cash flow, liquidity, dividend policy, and firm value, empirical evidence regarding the effect of free cash flow on the market value of listed companies in Nigeria remains limited and inconclusive. Against this background, this study investigates the effect of free cash flow on the market value of listed companies in Nigeria. The study is anchored on Agency Theory, Free Cash Flow Theory, and Signaling Theory. Agency Theory suggests that excess free cash flow may create conflicts between managers and shareholders because managers may have discretion over surplus resources and may invest them in projects that do not necessarily maximize shareholder wealth. Free Cash Flow Theory emphasizes that corporate value may be influenced by how managers utilize surplus cash after financing all positive-net-present-value investment opportunities, with effective monitoring and appropriate distribution of excess cash potentially reducing agency costs. Signaling Theory suggests that strong and sustainable free cash flow may communicate positive information about a company's operating strength, financial flexibility, future cash-generating capacity, and ability to reward shareholders. Collectively, these theoretical perspectives provide a comprehensive framework for explaining the relationship between free cash flow and the market value of listed companies in Nigeria. The study adopts a quantitative research design using a structured questionnaire administered to chief executive officers, chief financial officers, finance managers, management accountants, financial controllers, investment analysts, portfolio managers, fund managers, stockbrokers, institutional investors, internal auditors, external auditors, and other professionals involved in corporate financial management and investment decisions within selected listed companies in Nigeria. A stratified random sampling technique will be employed to ensure adequate representation of companies operating in the financial services, manufacturing, consumer goods, industrial goods, oil and gas, telecommunications, agriculture, healthcare, and other sectors listed on the Nigerian Exchange Group (NGX). Free cash flow will be measured using operating cash flow less capital expenditure, cash available after maintaining productive assets, discretionary cash flow, cash-generating capacity, and the availability of surplus cash for investment and shareholder distribution, while market value will be measured using market capitalization, market price per share, Tobin's Q, price-to-book ratio, and overall market valuation. Primary data collected from respondents will be analyzed using descriptive statistics to summarize respondents' demographic characteristics and perceptions regarding free cash flow and market value. Structural Equation Modeling (SEM) will be employed to examine the effect of free cash flow on market value. The measurement model will be evaluated using Cronbach's Alpha, Composite Reliability (CR), Average Variance Extracted (AVE), and Confirmatory Factor Analysis (CFA) to establish the reliability and validity of the research instrument. Additional diagnostic tests, including multicollinearity assessment, common method bias, and model fit indices such as the Comparative Fit Index (CFI), Tucker-Lewis Index (TLI), Root Mean Square Error of Approximation (RMSEA), and Standardized Root Mean Square Residual (SRMR), will be conducted to ensure the adequacy, consistency, reliability, and robustness of the structural model. The study anticipates that free cash flow will have a significant effect on the market value of listed companies in Nigeria. Strong free cash flow is expected to enhance market value because it provides companies with greater financial flexibility to finance profitable investments, expand operations, repay debt, pay dividends, undertake acquisitions, and respond to unexpected financial needs without excessive dependence on external financing. Investors may interpret strong and sustainable free cash flow as evidence of sound operating performance and strong future cash-generating capacity, thereby increasing investor confidence and demand for the company's shares. However, excessive free cash flow may create agency problems when managers retain surplus cash and invest it in inefficient projects, unnecessary acquisitions, excessive expansion, or other activities that fail to maximize shareholder wealth. In such circumstances, the market may discount the value of excess cash because of concerns regarding managerial discretion and inefficient capital allocation. Consequently, the effect of free cash flow on market value is expected to depend on the quality of investment opportunities, dividend policy, debt structure, corporate governance, managerial discipline, and the efficiency with which surplus cash is deployed. Overall, sustainable free cash flow supported by effective corporate governance and efficient capital allocation is expected to contribute significantly to the market value of listed companies in Nigeria. This study is expected to make significant theoretical and empirical contributions to the literature on corporate finance, financial accounting, cash-flow management, agency relationships, and capital market valuation by providing comprehensive evidence on the relationship between free cash flow and the market value of listed companies in Nigeria. Unlike previous studies that broadly examined cash flow, liquidity, dividend policy, or corporate financial performance, this research specifically evaluates free cash flow as a determinant of market value using primary data and Structural Equation Modeling (SEM). The findings will provide valuable insights for listed companies, financial managers, accountants, investment analysts, portfolio managers, fund managers, investors, stockbrokers, auditors, the Financial Reporting Council of Nigeria (FRCN), the Securities and Exchange Commission (SEC), the Nigerian Exchange Group (NGX), professional accounting bodies, policymakers, regulators, and academic researchers regarding the importance of efficient free cash flow management. The study will also provide evidence-based recommendations for strengthening cash-flow planning, improving capital allocation, optimizing dividend and investment decisions, reducing agency costs, strengthening corporate governance, and ensuring that surplus cash is efficiently utilized to enhance sustainable market value and shareholder wealth among listed companies in Nigeria.
