Influence of Audit Committee Meetings on the Financial Reporting Quality of Listed Companies in Nigeria
Abstract
Audit committee meetings are an important component of corporate governance because they provide a formal platform for reviewing financial reporting processes, discussing audit findings, monitoring internal controls, and overseeing the integrity of financial statements. The effectiveness of an audit committee depends not only on its composition and independence but also on the frequency, regularity, quality, and effectiveness of its meetings. Regular and substantive audit committee meetings provide opportunities for members to engage management and external auditors, examine significant accounting issues, review internal control weaknesses, monitor corrective actions, and ensure compliance with applicable financial reporting standards. Financial reporting quality refers to the extent to which financial reports provide reliable, relevant, accurate, complete, comparable, timely, and faithfully represented information to users. In Nigeria, listed companies operate in an environment characterized by increasing regulatory expectations, complex business transactions, economic uncertainty, technological changes, and heightened investor demand for credible financial information. These conditions have increased the importance of effective audit committee oversight in maintaining the integrity of corporate financial reporting. Regulatory institutions such as the Financial Reporting Council of Nigeria (FRCN), the Securities and Exchange Commission (SEC), and the Nigerian Exchange Group (NGX) emphasize sound corporate governance, effective audit oversight, and transparent financial reporting among listed companies. Despite these requirements, concerns regarding earnings management, financial reporting errors, weak internal controls, delayed reporting, and inadequate disclosure continue to raise questions about the effectiveness of corporate oversight mechanisms. Although previous studies have examined audit committee characteristics and financial reporting quality, empirical evidence regarding the influence of audit committee meetings on the financial reporting quality of listed companies in Nigeria remains limited and inconclusive. Against this background, this study investigates the influence of audit committee meetings on the financial reporting quality of listed companies in Nigeria. The study is anchored on Agency Theory, Resource Dependence Theory, and Stewardship Theory. Agency Theory explains that effective audit committee oversight can reduce conflicts between managers and shareholders by strengthening monitoring of management activities and financial reporting processes. Resource Dependence Theory suggests that frequent and effective audit committee meetings provide opportunities for members to utilize their financial expertise, professional experience, networks, and knowledge to improve corporate oversight and financial reporting. Stewardship Theory views managers as stewards of organizational resources and suggests that constructive engagement between management and the audit committee can promote accountability, transparency, and high-quality reporting. Collectively, these theoretical perspectives provide a comprehensive framework for explaining the relationship between audit committee meetings and financial reporting quality. The study adopts a quantitative research design using a structured questionnaire administered to audit committee members, chief financial officers, finance managers, accountants, financial controllers, internal auditors, external auditors, company secretaries, compliance officers, and other professionals involved in financial reporting and corporate governance within selected listed companies in Nigeria. A stratified random sampling technique will be employed to ensure adequate representation of companies operating in the financial services, manufacturing, consumer goods, industrial goods, oil and gas, telecommunications, agriculture, healthcare, and other sectors listed on the Nigerian Exchange Group (NGX). Audit committee meetings will be measured using meeting frequency, meeting regularity, meeting attendance, duration of meetings, quality of discussions, review of financial reports, interaction with external auditors, monitoring of internal controls, and follow-up on audit recommendations, while financial reporting quality will be measured using reporting accuracy, relevance, faithful representation, comparability, timeliness, completeness, reliability, compliance with International Financial Reporting Standards (IFRS), and the extent of earnings management. Primary data collected from respondents will be analyzed using descriptive statistics to summarize respondents' demographic characteristics and perceptions regarding audit committee meetings and financial reporting quality. Structural Equation Modeling (SEM) will be employed to examine the influence of audit committee meetings on financial reporting quality. The measurement model will be evaluated using Cronbach's Alpha, Composite Reliability (CR), Average Variance Extracted (AVE), and Confirmatory Factor Analysis (CFA) to establish the reliability and validity of the research instrument. Additional diagnostic tests, including multicollinearity assessment, common method bias analysis, and model fit indices such as the Comparative Fit Index (CFI), Tucker-Lewis Index (TLI), Root Mean Square Error of Approximation (RMSEA), and Standardized Root Mean Square Residual (SRMR), will be conducted to ensure the adequacy, consistency, reliability, and robustness of the structural model. The study anticipates that audit committee meetings will have a significant positive influence on the financial reporting quality of listed companies in Nigeria. Frequent and effective audit committee meetings are expected to strengthen monitoring of financial reporting processes, improve communication between audit committees, management, internal auditors, and external auditors, and facilitate the timely identification and resolution of accounting and control weaknesses. Regular review of financial statements and audit findings is also expected to reduce opportunities for earnings management, financial misstatements, and non-compliance with financial reporting standards. Furthermore, effective audit committee meetings are expected to enhance internal control systems, improve corporate accountability, strengthen audit quality, and increase investor confidence in published financial information. Conversely, infrequent meetings, poor attendance, inadequate preparation, limited financial expertise, weak participation, and ineffective follow-up may reduce the ability of audit committees to identify reporting problems and exercise effective oversight. Consequently, effective and substantive audit committee meetings are expected to contribute significantly to improving financial reporting quality and strengthening stakeholder confidence in the financial reports of listed companies in Nigeria. This study is expected to make significant theoretical and empirical contributions to the literature on auditing, corporate governance, accounting, and financial reporting by providing comprehensive evidence on the relationship between audit committee meetings and financial reporting quality of listed companies in Nigeria. Unlike previous studies that broadly examined audit committee composition, independence, or financial expertise, this research specifically evaluates audit committee meetings as a determinant of financial reporting quality using primary data and Structural Equation Modeling (SEM). The findings will provide valuable insights for the Financial Reporting Council of Nigeria (FRCN), the Securities and Exchange Commission (SEC), the Nigerian Exchange Group (NGX), listed companies, audit committees, audit firms, professional accounting bodies, investors, policymakers, regulators, and academic researchers regarding the importance of active and effective audit committee oversight. The study will also provide evidence-based recommendations for improving audit committee meeting practices, strengthening attendance and participation, enhancing financial expertise, improving communication with auditors, strengthening internal control monitoring, and ensuring effective follow-up of audit recommendations to promote high-quality financial reporting among listed companies in Nigeria.
